Operator and scope
CorpSuite is a corporate-secretarial and business-management software platform operated by Optimus Technologies Pte. Ltd. (UEN 200008713R), trading as OptimusTech ("Optimus", "we" or "us"). Address: 192 Waterloo Street, #05-01 Skyline Building, Singapore 187966. Contact: support@optimustech.com.
The initial rollout is for internal business use by Optimus and its related companies. Each participating company (a "tenant") has a separate tenant and database and appoints its own tenant administrator. These terms cover those companies and their authorised users. They do not offer public registration or establish a paid external-customer service.
Draft status and adoption: This updated draft records the agreed rollout arrangements and proposed supporting terms. It is not yet effective. Before adoption, an authorised representative of each participating company must approve the applicable terms and access arrangements. The effective date and the method of recording organisational acceptance remain subject to approval and legal review; no acceptance is inferred from use of this draft.
Testing and availability
CorpSuite is presently being tested at test.optimustech.com. Access requires authorisation. Features may change during testing and the initial rollout. Do not use a test environment as the sole record of statutory or business obligations; maintain appropriate independent records.
No uptime percentage, uninterrupted availability or response-time service level is guaranteed. Optimus will make reasonable efforts to maintain reliability and restore access following interruptions. Access may be interrupted for maintenance, upgrades, security updates or emergency repairs. Reasonable advance notice of planned maintenance will be given where practicable; emergency work may occur without advance notice.
Support requests may be sent to support@optimustech.com. Support is subject to available resources, without a guaranteed resolution time. Production readiness and permitted use of live data must be established through the rollout arrangements before operational reliance.
Accounts and acceptable use
Each tenant administrator manages their company's users, permissions and access changes, including promptly removing access when no longer required. Users must keep credentials confidential, use only authorised accounts and tenant access, and promptly report suspected unauthorised access. Separate tenant databases do not remove the need for appropriate permissions and security practices.
Authorised Optimus platform administrators may access tenant systems and data where reasonably necessary for technical support, troubleshooting, maintenance or security. Such access must be limited to authorised operational purposes and subject to confidentiality; it does not give other tenants permission to access the company's data.
Do not use CorpSuite for unlawful activities, unsolicited or deceptive email, infringement, bypassing access controls, accessing another tenant without authority, or disrupting the service. Each tenant is responsible for its users' authorised business use and for having the necessary rights, notices and permissions for information submitted, recipients, message content and attachments.
Google connection
Connecting Gmail requires the user's OAuth authorisation for the send-only gmail.send scope. CorpSuite uses that connection to send user-authorised emails; this scope does not provide mailbox-reading access. Review recipients, message content and attachments before sending. Google's rules, quotas and availability also apply.
OAuth tokens are stored encrypted. CorpSuite currently does not maintain an archive of sent email bodies or attachments. Tenants must retain any correspondence or attachments needed for their business or statutory records independently; copies may be retained separately by Gmail or recipients under their own arrangements.
Users can revoke access through Google Account connections. Revocation prevents future use of the connection but does not recall sent messages or itself delete other tenant records. See the Privacy Policy for personal-data handling. Encryption does not guarantee that a system is immune from compromise.
Tenant data and intellectual property
Tenants retain their rights in the information and documents they supply. They permit Optimus to host, process, reproduce and transmit that material only as reasonably necessary to operate and support CorpSuite, follow authorised instructions, protect the service or meet applicable legal obligations. This permission does not transfer ownership of tenant data.
Optimus and tenants must treat non-public business information obtained through the service as confidential, limiting disclosure to authorised people and service providers who need it for those purposes, or where required by law. This does not cover information independently developed, lawfully obtained without confidentiality restrictions or already public through no breach. Personal data is handled under the Privacy Policy and applicable law.
Optimus and its licensors retain rights in CorpSuite software and documentation. Authorised users receive permission to use the service for their tenant's internal business purposes while access remains authorised. Third-party components remain subject to their applicable licences. These terms do not transfer software ownership.
Planned backup arrangements: Optimus plans daily backups with 90-day backup retention. These are rollout targets, not a representation that daily backup scheduling, retention enforcement or restoration processes are already implemented or verified. Backup storage location remains undecided. Alibaba OSS is only under consideration for launch and is not a confirmed storage provider. The storage arrangement and relevant data-transfer safeguards must be assessed before use and reflected in the privacy information as applicable.
Backups are intended to support recovery and are distinct from the post-termination export window below. No particular recovery point, recovery time or successful restoration is guaranteed. Tenants should maintain appropriate independent copies and records. Backup and recovery arrangements must be verified before reliance on them.
Internal rollout and service terms
No paid subscriptions are offered for this initial internal rollout. These terms impose no subscription fees, billing cycle, renewal charges or paid cancellation/refund scheme. Any future external or paid service requires separately approved commercial terms communicated before it begins; these terms do not authorise future charges.
Features, support and rollout arrangements may evolve. Any separately agreed written service or data-processing agreement must identify the tenant, scope and any express departures from these terms. Agreement precedence and any required data-processing terms remain matters for legal review before adoption.
Suspension and ending access
Optimus may immediately suspend a user or an entire tenant for suspected security breaches, unauthorised access, unlawful activity, serious misuse or where continued access could compromise CorpSuite, its users or their data. The affected tenant will be notified as soon as reasonably practicable, unless notice would compromise an investigation, security response or legal obligation. Access may be restored when the issue has been satisfactorily resolved. Suspension does not itself terminate the tenant relationship, start the termination retention period or automatically delete data.
An authorised tenant administrator may request termination by contacting support@optimustech.com. Optimus may end access for unresolved serious misuse, legal requirements or discontinuation of the internal service, giving reasonable notice where practicable. The effective termination date should be confirmed in writing to the tenant administrator; ordinary user deactivation alone is not termination of a tenant.
Agreed post-termination policy for implementation: Tenant data is to be retained for 90 days after the tenant's effective termination date. Within that window, an authorised tenant administrator may manually request a complete export of the tenant database and stored documents through support. Optimus will verify the requester's authority and coordinate the export format and secure delivery manually. No self-service export feature is promised. The export covers records and documents actually held by CorpSuite; it cannot include sent email bodies or attachments that CorpSuite has not archived.
The tenant should request its export early enough to coordinate delivery and preserve its own statutory records. A request received within the window should be fulfilled before the relevant data is disposed of, even if delivery must be coordinated after day 90. Export access remains subject to authority checks, applicable law and proportionate security restrictions.
Retention and deletion implementation: The 90-day policy is an agreed operational commitment to be implemented and verified before adoption. This draft does not assert that retention automation, deletion controls or export procedures already exist. After the window, continued availability is not promised; disposal must follow a documented process, subject to legal retention requirements and legal holds. No automatic or immediate deletion on day 91 is represented. Backup expiry is separate from live-data disposal; removal of an individual tenant from existing backups is not promised. Backup expiry, legal holds and deletion procedures must be finalised and reflected accurately before these terms take effect.
Professional responsibility and liability
CorpSuite assists with corporate secretarial, accounting and business administration work. It does not replace qualified legal, tax, accounting or corporate-secretarial advice. Each tenant remains responsible for its records, statutory deadlines and professional decisions.
The appointed corporate secretary and other responsible officers remain responsible for reviewing and verifying the accuracy, completeness and suitability of corporate records, calculations, resolutions, statutory documents and regulatory submissions, and for approving them before use or filing. Automation does not transfer those responsibilities to Optimus. Software-generated information and documents are not guaranteed to be error-free or to satisfy every applicable statutory requirement.
Subject to applicable law, no additional warranty of uninterrupted service, error-free operation or fitness for a particular professional outcome is given. This does not remove express obligations adopted under these terms or duties imposed by law. Each party should take reasonable steps to prevent and mitigate foreseeable loss.
Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or restricted. Any limitation must comply with applicable Singapore law, including any applicable reasonableness requirement.
Outstanding legal decision: No monetary liability cap, consequential-loss exclusion or indemnity is established by this draft. Counsel and the participating companies must decide whether appropriate limits or indemnities are needed and approve their scope before adoption. In particular, a cap based on subscription fees would not provide a meaningful agreed amount for this unpaid rollout. Until any limitation is expressly approved and adopted, liability remains governed by applicable law.
Governing law, disputes and changes
Once adopted, these terms are governed by Singapore law. The parties will first attempt to resolve disputes through good-faith discussions between authorised representatives. If those discussions do not resolve the dispute, the courts of Singapore have jurisdiction. This does not prevent a party from seeking urgent court relief or taking steps needed to preserve a legal right.
Service notices may be sent to the tenant administrator through the service or the contact details held for the tenant. Tenants must keep those details current. Requests and legal or operational questions may be sent to support@optimustech.com.
Optimus may propose updates as the service evolves and will give reasonable advance notice of material changes where practicable. Urgent changes required for security or law may be notified as soon as practicable. Material changes to organisational obligations require approval through the agreed acceptance process; this draft does not establish acceptance by silence. Changes will identify their effective date and do not retrospectively alter accrued rights.
Before adoption: Obtain Singapore legal review; approve the effective date, organisational acceptance method, liability allocation and agreement precedence/data-processing terms. Separately verify rollout readiness, the backup provider and location, retention and manual export procedures, and documented deletion and legal-hold handling. These operational checks do not reopen the agreed 90-day policy or daily-backup target.
Effective date: Pending approval — this draft is not yet in force.
